Kevin J. Madden is a partner in the firm’s Boston office.

Kevin advises private equity and venture capital investors and public and private company clients on a broad range of transactions, including mergers and acquisitions, leveraged buyouts, growth and venture investments, and divestitures.

He represents clients operating in a range of industries including technology, life sciences, health care, food and agriculture, and manufacturing.

Prior to joining Morrison & Foerster, Kevin practiced in the Boston office of another international law firm, where he advised private equity sponsors and public and private companies on corporate and transactional matters.

Experience

Southwest Gas Holdings and Centuri, a former wholly owned subsidiary of Southwest Gas Holdings, in the separation and initial public offering of Centuri.

Represented Examinetics in an inaugural investment by Coalesce Capital, a private equity firm focused on business services.

Represented Ethos Capital in its majority control acquisition of Donuts, Inc. Named a Mergers & Acquisitions 2022 Deal of the Year.

Represented Alpine Investors and its portfolio company TEAM Services Group in the acquisitions of 24 Hr Homecare, Pearl’s Hope, Inteli-Care, We Care, and a division of HealthStar Home Health.

Represented Alpine Investors and its portfolio company Trilon Group in the partnership with CPH and Alta Planning + Design, Horrocks Engineering as well as acquisitions of Waggoner Engineering, DRMP, ESI Consultants, Ramey Kemp, The Mannik & Smith Group, CME Associates, Gonzalez Companies, Fehr-Graham and Wilson Engineers.

Represented Lyons Magnus, a leader in the food service industry, in its acquisition of Phillips Syrups and Sauces, an Ohio-based business that designs, manufactures, sells and distributes coffee house products, ice cream shop products and breakfast syrups.

Represented Honey Birdette, the fast-growing, luxury lingerie and lifestyle brand, and its sellers, in the USD333 million sale to PLBY Group, Inc. (Nasdaq: PLBY), a leading pleasure and leisure lifestyle company and owner of Playboy.

Represented American Healthcare Investors on the anticipated acquisition of its business by Griffin-American Healthcare REIT III, a healthcare-focused real estate investment trust.

Represented LIVEKINDLY Collective, a collection of heritage and startup brands on track to become one of the world’s largest plant-based food companies, on the commercial and intellectual property aspects of its establishment, together with RCL Foods, of a plant-based joint venture, LIVEKINDLY Collective Africa.

Represented Boston-based NorthBridge Partners on the final close of NB Partners Fund III, LP. NorthBridge launched Fund III in March 2020, together with Park Madison Partners, a New York-based capital and advisory firm focused on the global real estate alternative investments industry
