Morrison Foerster advised Examinetics in connection with an inaugural investment by Coalesce Capital (“Coalesce”), a private equity firm focused on business services. Freedom 3 Capital, an investment management firm and an existing Examinetics capital provider, teamed up with Coalesce to recapitalize Examinetics.
Examinetics is a leading provider of occupational health compliance testing services. Coalesce’s investment in Examinetics is expected to enable the company to further accelerate its expansion in existing and new markets, as well as introduce new technologies and services to meet the complex regulatory requirements facing its clients.
The MoFo deal team advising Examinetics was led by New York corporate partners Mitchell Presser and Aly El Hamamsy, and Boston corporate of counsel Kevin Madden, together with Miami corporate associate Bill Halaby, Washington, D.C. corporate associate Shams Haidari, and Denver corporate associate Hardin Cox.
The wider team included New York executive compensation partner Domnick Bozzetti and New York tax partner Dave Sturgeon.
