Morrison Foerster advised Anzu Partners LLC (‘Anzu’), an investment firm specialising in industrial and life science technologies, on the intended acquisition of the 3D printer manufacturer voxeljet AG. The takeover is to take place as part of an asset deal. The shares of voxeljet are tradable on the U.S. stock exchange via an ADR programme. The transaction is still subject to the expiry of a so-called ‘go-shop period’, during which other interested parties can purchase the company, as well as th,e approval of the Annual General Meeting and the necessary investment approvals. Closing is targeted for spring 2025.
The companies involved expect that voxeljet, together with Anzu, will be able to further expand its expertise in the production of industrial 3D printers and hold its own in the long term in an increasingly competitive environment.
