Eric has substantial experience representing clients in transactions covering a wide variety of industries, including technology, fintech, consumer and retail and professional services.

William “Bill” Halaby is a corporate associate at Morrison Foerster.Bill has significant experience representing private equity firms, as well as public and private companies, in a broad range of transactional matters, including acquisitions, dispositions, leveraged buyouts, venture and growth equity investments, business combinations and securities offerings.His practice includes both domestic and cross-border transactions in a variety of industry sectors, including leisure, life sciences, financial services, energy, technology and consumer goods and services.Bill volunteers with and sits on the Take Stock in Children of Florida Board of Directors. He previously served as co-instructor of the course “Negotiating Corporate Transactions” at New York University School of Law from 2019-2022.Prior to joining Morrison Foerster, he worked at another prominent law firm in New York.

Jack Bai is an associate in the firm’s Finance group, and regularly represents private equity sponsors, their portfolio companies, and financial institutions in U.S. and cross border deals including leveraged finance, asset-based lending, and syndicated lending.Prior to joining Morrison Foerster, Jack was a banking & finance lawyer for prominent international law firms in both Hong Kong and Australia, focusing on cross-border and corporate finance transactions. He obtained his Master of Laws (LLM) from Berkeley Law (Dean’s List) and also holds a Bachelor of Civil Engineering (Honors) and a Bachelor of Laws (LLB) from the University of Sydney.His bar admissions locations should include CA, NY, and New South Wales.

Jack Bai

Daniel Irvin is a corporate associate in the San Francisco office of Morrison Foerster. He represents clients on a broad range of transactional and corporate matters, including the formation of emerging companies, venture capital financings, mergers and acquisitions, corporate governance, and strategies for integrating ESG and impact goals into their businesses. He has represented both sellers and buyers in mergers and acquisitions. Daniel has also advised both sponsors of private funds throughout the fund formation process, as well as LPs in their primary and secondary fund investments.Prior to joining the firm, Daniel was a Summer Law Clerk in the Office of the General Counsel for the San Francisco Bay Area Rapid Transit District (BART).

William also has experience as a Legal Intern for Twitter, where he focused on advertising laws. William earned his J.D. from University of Southern California. He also holds a B.A. in Economics from University of Michigan.

William Lane

Andrew “Drew” Alley is a corporate associate in the San Francisco office of Morrison Foerster. Prior to joining the Transactions Department, Drew was a summer associate in the San Francisco office during the summer of 2021. Drew was part of the U.S. Securities and Exchange Commission Scholars Program, where he served in the Chief Counsel’s Office of the Division of Investment Management. During law school, Drew was a legal extern for a publicly listed spaceflight company based in San Jose, California.Drew received his J.D. from Northwestern Pritzker School of Law. While at Northwestern, Drew worked with Chicago-based startup companies as a member of the Donald Pritzker Entrepreneurship Law Clinic. Drew was a senior editor for the Journal of International Law and Business. Drew was selected to participate in the “San Francisco Immersion Program,” a winter quarter J.D.-M.B.A. collaboration with Northwestern’s Kellogg School of Management. Drew was a member of the Northwestern Student Chapter of the Federalist Society. He also served as board member of the Class Gift 2022 Committee, and he presently serves on the Young Alumni Council for Northwestern Pritzker School of Law.Drew holds a Master of Accountancy and a B.S. in Business Administration from the University of Tennessee. He began his career in Ernst & Young’s (EY) Financial Services assurance practice. He is a licensed Certified Public Accountant in Georgia.

Shams Haidari is a corporate associate in the Washington D.C. office of Morrison Foerster.Shams advises public and private clients on a wide range of corporate matters, including mergers and acquisitions, joint ventures, restructurings, and financings.Prior to joining the firm, Shams was an associate at another international law firm, where she advised on transactions and tax matters.Shams received her J.D. from Harvard Law School, where she served as the Tax Chair for the Harvard Association for Law & Business, Executive Editor for the Harvard Business Law Review, and Submissions Reviewer for Harvard Environmental Law Review.Shams holds a B.A., summa cum laude, from University of Pennsylvania.Shams is fluent in Arabic.
