Morrison Foerster advised subsidiaries of Lennar Corporation (NYSE: LEN) (“Lennar”) in the definitive agreement and plan of merger between Doma Holdings, Inc. (NYSE: DOMA) (“Doma”), a leading force for innovation in the real estate industry, and Title Resources Group (“TRG”), one of the nation’s leading title insurance underwriters, subject to stockholder and regulatory approvals.
A long-time client, Lennar is one of the largest homebuilders in the United States, an originator of residential and commercial mortgage loans, a provider of title insurance and closing services, an investor in innovative and disruptive proptech companies, and a developer of multifamily rental properties. In 2023, Lennar had over $33 billion in revenue.
Lennar, owner of 25% of Doma’s common stock, agreed to reinvest its proceeds from the transaction in TRG and signed a voting agreement in support of the transaction.
