Tushna Gamadia has over two decades of experience representing clients in complex commercial real estate transactions, with a particular emphasis on joint ventures, acquisitions and dispositions of properties, and real estate finance.Tushna regularly represents domestic and overseas investors and developers in joint venture projects throughout the United States and in the acquisition, financing, management, development, and sale of these projects. She has worked on the purchase, sale, development, leasing, and operation of commercial real estate properties, including shopping centers, office buildings, multi-family residential properties, mixed-use condominium projects, and hotels. She has advised borrowers and lenders on all aspects of real estate finance, including securitized lending, balance sheet lending, syndicated loan transactions, construction loans, preferred equity, and private equity transactions. Tushna also has experience representing developers in obtaining EB-5 financing for development projects.Tushna is also actively engaged in pro bono matters, including advising nonprofit institutions, international charities, and small businesses in connection with corporate and real estate matters, and advising community members in connection with family law and immigration matters. She is the 2020 recipient of Morrison Foerster’s Kathi Pugh Award for Pro Bono Service.In 2022, 2023, and 2024, The Legal 500 US named Tushna a Rising Star for Real Estate Finance and Recommended for Real Estate. Tushna is the firm’s 2024 Leadership Council on Legal Diversity (LCLD) Fellow.Tushna earned her J.D. from Cornell Law School, where she was a symposium editor of the Cornell Law Review, and her B.A. magna cum laude, Phi Beta Kappa from Middlebury College.

Whitney Lee is an associate in the firm’s Privacy + Data Security and Crisis Management practice groups. She is based in the firm’s Washington D.C. office.Whitney’s practice focuses on advising clients on significant cybersecurity incidents and other sensitive matters relating to U.S. domestic and international cybercrime, national security, risk, and crisis management, including matters that involve multijurisdictional investigations, congressional oversight, and significant media attention. Whitney has substantial experience managing third-party forensic and internal investigations, e-discovery efforts, and communications with relevant regulatory agencies and impacted stakeholders.She has successfully defended clients in numerous regulatory inquiries regarding data security practices, including investigations by the U.S. Department of Health and Human Services, state attorneys general, and international regulators following data security incidents. Whitney also has considerable experience advising clients on the Foreign Agents Registration Act and the Lobbying Disclosure Act.In 2024, Whitney was named to Law 360’s 2024 Cybersecurity & Privacy Editorial Board. In 2022, 2023, and 2024, Whitney was named to the National Black Lawyers Top 40 Under 40 List. In 2023, Whitney received the American Bar Association’s “On the Rise – Top 40 Young Lawyers Award.” In 2021, Whitney was featured in Bloomberg Law’s They’ve Got Next series as a Rising Star in the area of Privacy and Cybersecurity.Prior to joining Morrison Foerster, Whitney was an associate in the cybersecurity and privacy group of another international law firm. She is also the founder of CYREIN, a pro bono consulting service founded to address the rise of cyberstalking and cyber-harassment.During law school, Whitney worked at the New York State Office of the Attorney General in the Public Integrity Bureau, which handles complex investigations into government corruption, fraud, and abuses of authority, and before law school she worked at the Center for American Progress as a member of its national security and international policy team.Whitney holds a J.D. from Columbia Law School, an LL.M. in international criminal law with a focus on cybercrime from the University of Amsterdam, where she was an Amsterdam Merit Scholar, and a B.A. in government from Harvard University. Whitney is proficient in French.

Yuan Xia is an associate at Morrison Foerster’s Palo Alto office. She is a member of the firm’s Executive Compensation practice group.Yuan’s practice focuses on the transactional aspects of executive compensation matters in the context of domestic and cross-border mergers, acquisitions, divestitures, public offerings and restructurings. Yuan regularly counsels public companies, private equity funds, and startup companies on the design and implementation of equity, incentive and non-qualified deferred compensation agreements, change in control, retention and severance, and executive employment agreements. Yuan also has distinct experience advising public companies on executive compensation disclosures for annual proxy statements and merger proxies, initial public offerings and Form 8–Ks. Yuan was recognized by Legal 500 US as a Rising Star in Employee Benefits, Executive Compensation and Retirement Plans (Transaction) for 2024.Prior to joining the firm, Yuan was an associate at another international law firm headquartered in New York.
