MoFo Represents Tokyo Gas on its Exit from Mexico Renewables Platform

Morrison Foerster represented Tokyo Gas Co., Ltd. on the sale of its stake in an approximately 900MW platform of solar and wind projects in Mexico to its joint venture partner, ENGIE S.A. MoFo also represented Tokyo Gas on its initial acquisition of its 50% stake in the platform in 2019.

The transaction was structured as a sale by Tokyo Gas America Ltd. of shares in Heolios EnTG S.A.P.I. de C.V., which is the holding company for the platform, together with other related entities, to affiliates of ENGIE S.A. The transaction closed on February 6, 2024.
