Morrison Foerster represented initial purchasers in connection with the offering of $345 million of 5.25% Exchangeable Senior Notes due 2028 by COPT Defense Properties, L.P. (formerly known as Corporate Office Properties, L.P.) (the “Issuer”). The notes are fully and unconditionally guaranteed by COPT Defense Properties (formerly known as Corporate Office Properties Trust), the sole general partner of the Issuer. The exchangeable senior notes offering settled on September 12, 2023.
Wells Fargo Securities, LLC acted as the sole book-running manager for the offering and KeyBanc Capital Markets Inc., M&T Securities, Inc., TD Securities (USA) LLC, and PNC Capital Markets LLC acted as co-managers for the offering.
