Jim Ryan is a partner in Morrison Foerster's Transactions Department. His practice focuses on domestic and cross-border corporate and securities matters, including venture capital and private equity financings, mergers and acquisitions, securities compliance, and corporate governance.Jim represents entrepreneurs, startups and emerging companies as outside general counsel, venture capital and private equity investors, and financial and strategic acquirers across the technology, media, telecommunications, and life sciences industries. His clients operate in a variety of sectors including machine learning and artificial intelligence, robotics, autonomous vehicles, cybersecurity, data analytics, fintech, e-commerce, gaming, life sciences, and medical devices.Jim earned his J.D. from the Santa Clara University School of Law, where he was a comments editor for the Santa Clara Law Review and was published on the topic of cloud computing regulation. He received his B.A. in Economics with a minor in Information Systems and Technology Management from the University of California, Santa Cruz.

Katherine Suzuki is a corporate associate in the firm's Palo Alto office.Katherine’s practice focuses on corporate and securities matters, including venture capital and private equity financings, mergers and acquisitions, and corporate governance.Prior to joining the firm as an associate, Katherine served in the United States House of Representatives as a Legislative Fellow. She also served as an Honors Program Legal Intern with the United States Securities and Exchange Commission.Katherine earned her J.D. from the University of California, Berkeley School of Law, where she earned a Certificate of Specialization in Business Law. Mingqian Li is a corporate associate in the San Francisco office of Morrison Foerster.Before joining Morrison Foerster’s Transactions Department, Mingqian was a summer associate in the Palo Alto and Tokyo offices during the summer of 2020.Mingqian earned her J.D., cum laude, from Washington University School of Law, where she served as a student attorney at the Entrepreneurship & Intellectual Property Clinic. She holds a B.A. from Beijing Normal University.She is fluent in Mandarin and Japanese.

Brooke Monahan is of counsel in the Executive Compensation practice group.Brooke’s practice focuses on executive compensation, employee benefits, ERISA, and employment law. She has extensive experience advising public and private companies on their compensation, benefits, and employment-related issues in their day-to-day operations, public offerings, financing transactions, and other corporate matters. She frequently counsels clients on various executive compensation and employee benefits matters that arise in connection with mergers and acquisitions with a particular focus on the private equity space. She also has experience designing, drafting, and negotiating compensation related agreements including severance, change-in-control, and executive employment agreements, equity incentive plans, and award agreements.Brooke earned her J.D. from Washington University School of Law in St. Louis, Missouri. While there, she was elected to the Order of the Coif and earned awards for excellence in contracts and oral advocacy. She was also a member of the Pro Bono Jurists organization, the Women’s Law Caucus, and the Washington University Law Quarterly.

Clients seek out Julie because of her practical advice on cutting-edge issues at the intersection of privacy and consumer protection laws. She provides clients with practical solutions to compliance challenges around a wide variety of both online and offline privacy issues, including tracking, interest-based advertising, geo-targeting and other mobile tracking, personalization, and cross-device tracking. Recognized in The Legal 500 US 2014, 2016, 2019, and 2020 and Chambers USA 2021 for her exceptional legal work, her clients praise her saying, “She is really good at giving practical, targeted advice and taking stock of what the risk profile of the client is, so that the advice is holistic.” (Chambers USA 2021).Julie provides clients with creative and practical advice on meeting the requirements of state and federal privacy laws, including the Federal Trade Commission Act (FTC), the California Consumer Privacy Act (CCPA), Children’s Online Privacy Protection Act (COPPA), and the Family Educational Rights and Privacy Act (FERPA). She crafts guidelines and compliance programs for clients’ collection, use, and disclosure of personal information in diverse contexts and throughout the life cycle of their initiatives, such as for connected products (the Internet of Things) and mobile services. She also drafts privacy and cookies policies, online service terms of use, agreements involving online and offline advertising and marketing practices, and agreements concerning a variety of data uses. In addition, Julie helps clients assess and manage privacy risks, including in connection with mergers, acquisitions, and other strategic transactions.Julie creates compliance programs for clients’ use of a wide variety of channels for communicating with and marketing to consumers, including email, telephone, text message, and fax, both in the United States and around the world. She works with clients to develop their social media strategies and to clear their social media content. She also reviews advertising in both traditional and new media for compliance with applicable laws, including Section 5 of the FTC Act and various FTC rules and guides. Evangeline Phang is an associate in the Technology Transactions Group of Morrison & Foerster’s San Francisco Office.Her practice focuses on transactional matters involving intellectual property and technology, including licensing, development agreements, collaboration agreements, services agreements, manufacturing and supply agreements, outsourcing, investments, and mergers and acquisitions. Evangeline works across a variety of industries, including in the areas of software and cloud services, AR/VR, video game development, electric vehicle development, manufacturing and supply, e-commerce, biotech, FinTech, and AgTech. In addition to her practice, she is an active member of the firm’s pro bono efforts and diversity and inclusion initiatives.Prior to joining Morrison & Foerster, Evangeline worked in a molecular biology laboratory at UCSD School of Medicine, Howard Hughes Medical Institute. In addition, her diverse legal experiences extend to internships with the State Department at the U.S. Mission to the EU in Belgium, an international human rights nonprofit organization in Japan, a Fortune 500 company in the Bay Area, and a startup corporation in San Francisco.Evangeline earned her J.D. from the University of California, Berkeley School of Law, where she was the notes editor of the California Law Review and an editor of the Asian American Law Journal. Evangeline Phang

Kevin is a tax associate in the Boston office of Morrison Foerster.Kevin advises clients on U.S. federal income tax considerations related to domestic and cross-border transactions that include mergers and acquisitions, debt and equity offerings, reorganizations, real estate investment trusts, capital markets transactions, structured products, and renewable energy. He also advises clients on the formation and continuing operation of tax-exempt organizations as well as tax controversies and a broad range of general corporate tax planning matters.Kevin earned his law degree from Boston University School of Law. He also earned his LL.M. in taxation from Boston University School of Law and his M.A. in literature from Middlebury College’s Bread Loaf School of English. He has also studied at the University of Oxford and the University of Edinburgh. Prior to joining Morrison & Foerster, Kevin was an English teacher at various independent schools in the Northeast.
