MoFo Awarded 2022’s “Deal of the Year” by LexisNexis for Advising on SoftBank’s Sale of Arm Limited to NVIDIA
Morrison & Foerster has been recognized by LexisNexis at its annual Legal Awards. MoFo was awarded the 2022 “Deal of the Year” for advising SoftBank on the $40 billion sale of UK-headquartered multinational semiconductor and software design company Arm Limited to U.S. chip company NVIDIA. The award is presented to an individual or organization involved in the leading legal transaction that concluded during the last two years. Deals are recognized for their unusual levels of complexity, high value, and innovation in the legal profession.
MoFo’s global M&A team led by Tokyo managing partner Ken Siegel, by San Francisco Corporate partner Eric McCrath, and by London Corporate partner Gary Brown, advised longstanding client Softbank on the $40 billion sale. The deal was announced in September 2020. Morrison & Foerster has advised SoftBank on its investment in Arm throughout its entire life cycle—from original acquisition through to sale. What would have been the largest semiconductor deal in history, and one of the largest global M&A deals in recent years, was also one of the most complex from a regulatory standpoint, being subject to regulatory approvals in multiple jurisdictions, including the United Kingdom, United States, European Union, and China.
This is one of a number of recognitions received by MoFo’s award-winning Corporate group in London. The team was recently recognized at the CEE Legal Matters’ Deal of the Year Awards for its role advising EuroHold Bulgaria AD (EuroHold Bulgaria) on the €355 million acquisition of the Bulgarian power distribution/renewable energy business of Czech utility company ČEZ. In addition, the team has been shortlisted in two categories at the IFLR Europe Awards 2022, including “M&A Team of the Year” and “M&A Deal of the Year”, the latter relating to the team’s role advising Cambridge Quantum Computing on its merger with Honeywell Quantum Solutions to create the world’s leading integrated quantum computing company.
