MoFo partner Paul McKenzie and senior consultant Bilin Chen have contributed a Practice Note on shareholders’ rights under China’s revised Company Law, as part of a series of Practice Notes Thomson Reuters’ Practical Law has published on the revised Law, which comes into effect July 1, 2024. The Practice Note, Chinese Company Law Amendment: Impact on Shareholders’ Rights discusses key changes concerning the rights of shareholders in limited liability companies (LLCs) and companies limited by shares (CLSs, also known as joint-stock companies). Changes discussed in the Note include shareholders' expanded right of inspection, more flexible decision-making mechanisms, optimized exit mechanisms for shareholders, and the introduction of double-derivative actions.
