Jina Choi and Andre Fontana authored an article for Harvard Law School Forum on Corporate Governance detailing the latest charges filed by the U.S. Securities and Exchange Commission’s (SEC) in their third enforcement action under the EPS Initiative.
“The cases coming out of the SEC’s EPS Initiative show that if issuers are seen to be ‘managing’ or manipulating their earnings to give an overly positive view of their operations and finances,” the authors warn, “the SEC will not hesitate to bring an action.”
