Morrison Foerster associate Melissa Harclerode, of the Employment + Labor Group, will be speaking at the Practising Law Institute’s Fundamentals of Noncompetes 2024 program. This program will provide essential information about restrictive covenant law, including the types of restrictive covenants, the interests they can protect, the rules for their use, and basic drafting and litigating techniques. Attendees will gain insights into how to protect their company’s trade secrets, customer relationships, and workforce, and other protectable business interests, and how to position their company in the event of any future federal regulation of noncompetes or further state limitations.

This panel will explore the fundamentals of drafting restrictive covenants. After completing this session, participants will be able to:
Determine when to ask an employee to sign a noncompete;
Understand the interstate implications of noncompetes for employees across state lines;
Evaluate the different options available to address employees working in other states;
Explore when and how to use forum selection and choice of law clauses, and when they won’t help;
Address the types and appropriate scope of restrictions for enforceable agreements for types and levels of employees;
Understand why and how to maximize the enforceability of each type of agreement and for each level of employee;
Analyze common drafting traps and how to avoid them; and
Examine the interplay between geographic breadth and business description, especially in the digital age of remote and hybrid workplaces.
