Partners Mike O’Bryan, Chris McKinnon, and Aaron Rubin participated in the 2024 ABA Business Law Section’s Spring Meeting that took place on April 4–6 in Orlando, Florida.
Mike serves as chair of the M&A Committee, leading the organization of the committee’s two days of meetings and presiding over the committee’s main meeting, where discussion included AI issues in non-AI M&A, practical implications of the recent Activision, Crispo, and Moelis decisions (including the Delaware legislative changes proposed in response to those decisions), and steps to be taken by M&A practitioners following the effectiveness of the Corporate Transparency Act.
Aaron Rubin spoke at the M&A Committee’s main meeting on the panel addressing AI issues in non-AI M&A.
Chris spoke at the Venture Capital Financing Subcommittee meeting, where he led a discussion of private company tender offer rules—which have become increasingly important as highly valued startups continue to face headwinds in the broader IPO and M&A markets and instead seek near-term, partial liquidity for shareholders through tender offers—and participated in a discussion of recent changes to the NVCA model venture capital financing documents.
