Morrison Foerster’s Emerging Company and Venture Capital Associate Maxwell R. Rich taught the course From Formation to Exit – Capital Formation for Startups. The course focuses on early-stage financing from formation to exit in hyper-speed and allows students the opportunity to play the role of a company’s outside legal counsel. Students learn about entity formation, capitalization, tax, regulatory and general legal guidance. Students get to interact with practitioners and regulators in this area of the capital markets, getting current perspective on market practices and emerging trends. The course ends with the company receiving a term sheet from a prominent VC which students will assess, issue spot, and advise the company thereon.
