Morrison & Foerster’s Real Estate Group handles acquisitions and dispositions of all types of real estate assets, including
real property interests, equity interests in real property-owning entities, and mortgage-secured loans. Our clients include
U.S. and non-U.S. developers, institutional investors, opportunity funds, pension funds, real estate investment trusts (REITs),
and financial institutions, among others. We have experience with the purchase and sale of real estate assets related to all
types of uses, including office, commercial, industrial, multi-family, hospitality, and specialized uses, such as energy.
We handle acquisitions and dispositions of real property assets and portfolios in both traditional formats and using tax-efficient
structures, including like-kind exchanges (multi-property and multi-party exchanges, as well as non-simultaneous, build-to-suit
and reverse exchanges), and transactions structured to minimize property taxes and transfer taxes. We also regularly assist
both our REIT and non-REIT clients in “roll-ups” and similar transactions involving the contribution of real estate projects
and real estate partnership interests into “UPREITs” and their operating partnerships.
We represent real estate industry clients in the bulk acquisition and disposition of real estate assets, such as REO properties
and performing and non-performing loan portfolios. We have also assisted clients in the purchase and sale of real assets through
auction and other bidding procedures.
We advise non-real estate industry clients in connection with their corporate real estate needs, including acquisition, development,
expansion, and redevelopment of headquarters facilities, manufacturing plants, and other facilities. We also assist corporate
clients in a variety of different industries with the disposition of surplus real property, including bulk dispositions of
operating and surplus real properties (such as former manufacturing facilities and bank branch locations).
Representative Matters
Represented UBS Realty Investors in the $225 million acquisition of a full city block in downtown Denver. The transaction
involved the acquisition of the Denver Grand Hyatt, an adjacent 40-story "class A" office building, and a multilevel retail
project connecting the hotel and the office building.
Represented Fashion Institute of Technology in the purchase of a 300,000 square foot building on the Far West Side of Manhattan,
the conversion of the building into an 1100 bed dormitory, and the $140,000,000 tax-exempt financing of the project.
Represented a financial institution in over $2 billion of loan portfolio bid, acquisition, and disposition transactions.
Represented a major investor in the $200+ million acquisition of a high-rise office building in downtown Los Angeles.
Represented a large U.S. corporation in a $450 million portfolio sale of properties located in 13 states, including 40 income-producing
properties and 133 acres for future development.
Represented an oil pipeline company in the acquisition of a fuel oil terminal, storage and pipeline business in Los Angeles
County, California.
