UK and U.S. qualified lawyers advise on complex domestic and cross-border finance transactions including acquisition finance;
asset-based lending; public to private transactions; and project financings.
We have considerable experience in private placements of both equity and debt and the office has a specialised practice representing
non-U.S. entities who wish to make cross-border private placements of securities to U.S. financial institutions. Our attorneys
are also experienced in recapitalisations and debt restructuring.
The Debt Trading Practice represents clients engaged in secondary market trading of commercial loans and other debt assets.
Our debt trading clients include investment banks, commercial banks, collateralized loan obligation vehicles (“CLOs”), collateralized
debt obligation vehicles (“CDOs”), hedge funds, asset managers, and other entities. Our debt trading representation of these
clients is focused on three general types of trading activities: trading distressed debt; trading par debt; and transfers
of portfolios of debt assets (e.g., pursuant to auctions or securitization transactions). We represent clients in connection
with trades of loans and claims owed by American, European, Latin American and Asian obligors.
We are an active member of the relevant trade associations for the banking and finance sector. These include the Loan Syndications
and Trading Association, Loan Market Association and Asia Pacific Loan Market Association.
