Mr. Troupe's practice is primarily focused on transactional and financing matters, as well as corporate, securities, and mergers and acquisitions. He has concluded a large number of mergers and acquisitions for both public and private companies, including tender offers, hostile proxy contests, and negotiated acquisitions.

Mr. Troupe has also represented numerous companies in a wide range of financing and restructurings, including a variety of public and private equity offerings, traditional loan structures, debt placements, subordinated debt financings, workouts, and recapitalizations. He has also been extensively involved in the formation and financing of several REITs.

Mr. Troupe is a partner in Morrison & Foerster's Denver office and is Chair of the firm's Denver Corporate Group.



Representative Matters
  • Represented UDR, Inc. in $897 million of acquisitions in four separate transactions including the acquisition of a portfolio of 17 apartment communities from Essex Apartment Value Fund for a purchase price of $765 million.
  • Represented Atrix Laboratories, Inc. in a transaction in which QLT acquired 100% of Atrix's capital stock for $855 million in stock and cash.
  • Represented Sloan's Lake Management Corporation in the sale of Sloan's Lake Management Corporation to HMS Healthcare, Inc.
  • Represented Optika, Inc. in the sale of Optika, Inc. to Stellent Inc. with a value of $59 million.
  • Represented PorterCare Adventist HealthCare System in affiliation with Sisters of Charity Health Services Colorado and formation of Centura Health Systems, a $1.2 billion transaction.
